Terms of Service

Welcome to OpQuest. These Terms of Service ("Terms") govern your access to and use of the OpQuest platform, including our website, applications, APIs, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.


1. Acceptance of Terms

By creating an account or using the Service, you represent that:

  • You are at least 18 years old and have the legal capacity to enter into a binding agreement
  • If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms
  • You will comply with all applicable laws and regulations in your use of the Service

2. Description of Service

OpQuest provides an ecommerce operations platform that enables businesses to:

  • Connect and sync data from ecommerce platforms (including Amazon Seller Central and Vendor Central)
  • View analytics, reports, and dashboards for business performance
  • Generate demand forecasts and planning insights
  • Manage inventory, orders, and operations
  • Access related tools, features, and integrations

The specific features available to you depend on your subscription plan.


3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We recommend enabling multi-factor authentication (MFA) for enhanced security.

3.3 Team Accounts

If you create a team account, you may invite other users to access the Service under your account. You are responsible for managing access permissions and ensuring that team members comply with these Terms.


4. Subscription Plans and Payments

4.1 Subscription Plans

The Service is offered through various subscription plans with different features and pricing. The current plans and pricing are available on our website. We reserve the right to modify plans and pricing with reasonable notice.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are quoted in US Dollars unless otherwise specified.

4.3 Payment Processing

All payments are processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.4 Refunds

Subscription fees are generally non-refundable except as required by law or as explicitly stated in these Terms. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

4.5 Taxes

You are responsible for all applicable taxes. We will collect and remit taxes where required by law.


5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable law, regulation, or third-party rights
  • Use the Service for any fraudulent or deceptive purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Transmit malware, viruses, or other malicious code
  • Scrape, crawl, or use automated means to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service in a manner that could damage, disable, or impair it
  • Circumvent or disable any security features or usage limits

6. Your Data and Content

6.1 Ownership of Your Data

You retain all rights, title, and interest in and to your data, including any content, information, or materials you upload, submit, or input into the Service ("Your Data"). We do not claim ownership of Your Data.

6.2 License to Your Data

You grant us a limited, non-exclusive, royalty-free license to use, process, store, and display Your Data solely to the extent necessary to provide, maintain, and improve the Service.

6.3 Data from Third-Party Services

When you connect third-party services (such as Amazon Seller Central) to the Service, we access and process data from those services in accordance with your authorization and the applicable third-party terms. You represent that you have the necessary rights and permissions to share such data with us.

6.4 Aggregated Data

We may create anonymized, aggregated data derived from Your Data and usage of the Service. This aggregated data does not identify you or your business and may be used by us for any lawful purpose, including improving the Service and creating industry benchmarks.

6.5 Data Export

You may export Your Data from the Service at any time through the available export features or by contacting us at support@opquest.io.


7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its source code, design, features, documentation, trademarks, and all related intellectual property, is owned by OpQuest or its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.


8. Third-Party Services and Integrations

The Service integrates with third-party services, including but not limited to:

  • Amazon Selling Partner API (SP-API)

    For accessing Amazon Seller Central and Vendor Central data

  • Stripe

    For payment processing

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.


9. Service Availability and Support

9.1 Service Availability

We strive to maintain high availability of the Service. However, the Service may be temporarily unavailable due to scheduled maintenance, unscheduled maintenance, or circumstances beyond our reasonable control.

9.2 Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that may adversely affect your use of the Service.

We provide support in accordance with your subscription plan. Support requests can be submitted via email to support@opquest.io or through the Service.


10. Termination

10.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your access to the Service at any time if:

  • You breach these Terms or any applicable policies
  • Your payment method fails and you do not resolve the issue within a reasonable time
  • We believe your use of the Service poses a risk to us, other users, or third parties
  • We are required to do so by law

10.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will end immediately
  • We may delete Your Data after a reasonable retention period (typically 30 days)
  • Sections that by their nature should survive termination will survive (including intellectual property, limitation of liability, and indemnification)

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

Any forecasts, predictions, or analytics provided by the Service are for informational purposes only and should not be relied upon as the sole basis for business decisions.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OPQUEST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute services
  • Any damages resulting from unauthorized access to or alteration of your data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.


13. Indemnification

You agree to indemnify, defend, and hold harmless OpQuest and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your breach of these Terms
  • Your violation of any applicable law or third-party rights
  • Your Data or any content you submit through the Service

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@opquest.io to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

14.2 Arbitration Agreement

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Phoenix, Arizona, or another mutually agreed location.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters related to intellectual property or unauthorized access to the Service.


15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles. For any claims not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.


16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.


17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and OpQuest regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

All notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@opquest.io.
